Terms of Service

These Terms of Service ("Terms") govern your access to and use of products provided by Vetware ("Vetware", "we", "us"), including VetPACS, VetAI, Keepsake, and Insights. By creating an account or using any of our products, you agree to these Terms on behalf of yourself and the veterinary practice you represent. Product-specific terms (for example, VetAI's AI-training terms, Keepsake billing and hardware, or Insights eligibility and acceptable use) apply in addition to these general Terms.

1. Acceptance of Terms

By accessing or using a Vetware product, you agree to be bound by these Terms. If you do not agree, do not use the product.

2. Description of Service

Vetware provides software for veterinary practices. VetPACS provides cloud backup of, and full-resolution sharing for, the studies from your existing PACS. VetAI is an optional, beta product that provides AI-powered analysis of those radiographs. Keepsake generates custom engraved keepsakes (such as paw prints, nose prints, and pet ID tags) and engraves them on a Keepsake-connected engraver. Insights provides clinical retrieval and answers for licensed veterinarians. Each product consists of its marketing site, its customer application, and (for Keepsake) the firmware running on connected engravers.

3. Eligibility and Professional Use

Our products are intended for use by licensed veterinary professionals and their authorized staff. By signing up, you represent that you are at least 18 years old, that you are a licensed veterinarian (or are working under the supervision of one, or are authorized to act on behalf of your practice), and that the information you provide is accurate. Insights additionally requires a valid DVM license number, which we use to verify your eligibility.

4. No Medical Advice

AI-generated output, analysis, and answers provided by Vetware products are decision-support tools only. They do not constitute veterinary medical advice, diagnosis, or treatment recommendations. All clinical decisions remain the sole responsibility of the treating veterinarian.

5. Accounts and Security

Your practice account may have one or more authorized users, each with their own login. You are responsible for maintaining the confidentiality of credentials issued to your practice and for all activity that occurs under your account. Notify us promptly if you suspect unauthorized access.

6. Payment Terms

Fees are denominated in U.S. dollars and are communicated to your practice at signup. Depending on the product, fees may be billed as a recurring subscription in advance, as usage-based overage in arrears, or a combination of both; product-specific billing details appear in the sections below. We reserve the right to change pricing on a going-forward basis with at least 30 days' notice by email to the billing contact on your account; continued use after the effective date constitutes acceptance of the new pricing. You are responsible for any taxes (other than taxes on Vetware's net income) that apply to your use of the product. If your payment method fails, we may retry it, suspend the product until payment is restored, and ultimately terminate the account for non-payment.

7. Acceptable Use

You agree not to:

  • Use a Vetware product for anything other than its intended purpose.
  • Upload content that infringes a third party's intellectual-property or privacy rights, or that is unlawful, harmful, or deceptive.
  • Attempt to reverse-engineer, decompile, or extract the AI models or other proprietary components of a product.
  • Resell, sublicense, or redistribute a product to third parties not authorized by these Terms.
  • Interfere with a product's operation, probe its security, or attempt to access accounts or data that do not belong to your practice.

We may suspend or terminate accounts that violate these rules, with or without prior notice depending on the severity of the violation.

8. Intellectual Property

You retain ownership of the source content you upload (radiographs, photographs, and the like). By uploading content, you grant us a limited, worldwide, royalty-free license to host, process, transmit, and display that content as needed to operate, maintain, support, and improve the product for your practice, subject to the AI-training rules in our Privacy Policy. The Vetware software, firmware, AI models, brands, and underlying technology remain the property of Vetware and are licensed, not sold.

9. Disclaimer of Warranties

Vetware products are provided "as is" and "as available", without warranties of any kind, express or implied, including the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that a product will be uninterrupted, error-free, or that AI-generated output will meet any particular standard.

10. Limitation of Liability

To the maximum extent permitted by law, Vetware and its officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or in connection with your use of a product, regardless of the theory of liability. Our total aggregate liability for any claim arising out of or relating to these Terms or a product is limited to the greater of (a) the fees you paid to us in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred U.S. dollars ($100).

11. Indemnification

You agree to defend, indemnify, and hold harmless Vetware and its affiliates from any third-party claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of (a) your use of a product in violation of these Terms or applicable law, (b) content you upload, or (c) your practice's relationship with the pet owners or clients you serve using the product.

12. Term and Termination

These Terms remain in effect while your account is active. We may suspend or terminate your account at any time, with or without notice, for material breach of these Terms or where required by law. The sections that by their nature should survive termination — including Payment Terms (for amounts owed), Intellectual Property, Disclaimer of Warranties, Limitation of Liability, Indemnification, and Governing Law — will survive.

13. Governing Law and Disputes

These Terms are governed by the laws of the State of Georgia, without regard to its conflict-of-laws principles. The exclusive venue for any dispute the parties cannot resolve informally will be the state or federal courts located in Georgia, and each party consents to the personal jurisdiction of those courts. Nothing in this section limits either party's right to seek injunctive or equitable relief in any court of competent jurisdiction.

14. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the date above and, for material changes, notify the billing contact on your account by email or by an in-product notice before the change takes effect. Your continued use after the effective date constitutes acceptance of the updated Terms.

Product-Specific Terms: VetPACS

VetPACS subscription fees are billed monthly in advance. You may cancel at any time, and access continues until the end of the current billing period. We do not provide refunds for partial months. VetPACS is a backup and sharing service; using it does not enroll your imaging in AI training. Studies are shared outside your practice only at your direction.

Product-Specific Terms: VetAI

VetAI is an optional, beta product that runs AI screening on the radiographs in your VetPACS backup. By enabling VetAI, you acknowledge and agree that anonymized radiographic images are used to train and improve our AI models, as described in our Privacy Policy. As a beta product, VetAI is provided "as is", may change or be discontinued, and its output is decision-support only (see "No Medical Advice" above).

Product-Specific Terms: Keepsake

Billing. Keepsake is billed as a subscription. You choose a plan tier (Bronze, Silver, or Gold) and a billing period (monthly or annual, with annual billed at a discount). Each tier includes a set number of keepsakes per billing period; additional keepsakes beyond that allowance are charged at your tier's per-keepsake rate and invoiced as overage. Subscriptions renew automatically each period to the payment method on file until cancelled. You may cancel at any time from the Account page in the application; access continues until the end of the current billing period, after which the subscription ends and access to the application and connected engravers is suspended.

Refunds. All sales are final. Subscription fees and per-keepsake overage charges are non-refundable, and we do not offer prorated refunds for unused allowance, partial billing periods, or mid-period cancellations. If you believe you were billed in error — for example, a duplicate charge or a charge for a keepsake that failed for reasons attributable to the service — contact us within 30 days and we will review the charge in good faith.

Hardware and generated artwork. Generated keepsakes are licensed to your clinic for use in providing custom keepsakes to your clients; you may print, share, and distribute physical copies of those keepsakes to the clients they were created for. Keepsake-connected engravers run Vetware firmware, which remains licensed, not sold. We do not use customer photographs to train AI models without your explicit, opt-in consent.

Product-Specific Terms: Insights

DVM eligibility. Insights is offered only to licensed veterinarians and requires a valid DVM license number at signup, which we use to verify your eligibility. You may not share your Insights account with unlicensed individuals.

Clinical responsibility and acceptable use. Insights provides clinical retrieval and answers as a reference and decision-support tool. It is not a substitute for professional judgment, and all clinical decisions remain your responsibility. You agree not to use Insights to provide veterinary services outside the scope of your license, and not to attempt to extract, scrape, or redistribute the underlying knowledge base or models.
